A. MadRizz provides its clients with outsourcing and outplacement services, including the placement of remote contractors.
B. MadRizz has been requested or is being considered to offer its services to the client for the placement of contractors.
C. The services will be provided by MadRizz to the client under the terms and conditions of this service agreement.
Schedule 1 provides the definitions and interpretations for this service agreement.
2.1. The terms and conditions on the MadRizz website outline the procedures for day-to-day activities, including service requests by the client, selection of MadRizz employees, and other contractual activities.
2.2. It is acknowledged by the client that this agreement does not create an employment relationship with MadRizz.
2.3. The responsibility for selecting the appropriate MadRizz employee lies with the client. The hiring is done for independent contractors based on local guidelines.
2.4. MadRizz employees do not hold any authority to enter into contracts on behalf of the client, and this agreement does not establish a partnership between the client and MadRizz employees.
3.1. This agreement operates on a project-to-project basis, commencing on the agreed-upon start date and continuing until terminated as per the terms outlined.
4.1. The schedule for payments to MadRizz is detailed in Schedule 1 and follows the terms on the MadRizz website.
4.2. All provisions listed in Schedule 1 are part of this contract and enforceable.
5.1. MadRizz is not liable for any loss, damage, cost, or compensation (direct or indirect) incurred by the client in cases such as:
a) Delays in introducing MadRizz employees to the client.
b) Non-acceptance of offers or assignments by MadRizz employees.
c) The performance or conduct of a MadRizz employee.
6.1. The client agrees to indemnify MadRizz in cases of:
a) Injuries sustained by MadRizz employees while performing duties for the client.
b) Property damage occurring during the execution of duties by MadRizz employees.
6.2. The client will also indemnify MadRizz against any claims made by employees related to the termination of their services.
7.1. The client must pay MadRizz $15,000 for each MadRizz employee hired directly by the client.
7.2. Upon termination of this contract, the client cannot directly employ or offer contracts to any MadRizz employee who has worked for the client within the past 12 months.
7.3. Friends, family members, referrals, or connections of MadRizz employees cannot be hired without prior written approval.
7.4. Exchange of information related to payments or pricing between the client and MadRizz employees is strictly prohibited.
8.1. All materials created by MadRizz employees for the client will be owned by the client, and all intellectual property rights in such work shall vest solely in the client.
9.1. All parties agree to handle personal information in compliance with applicable privacy laws.
10.1. Confidential information will only be disclosed as required by law.
Both parties represent and warrant that:
a) No actions, claims, or investigations are pending that could materially affect the subject of this agreement.
12.1. Either party may terminate this agreement if:
a) The other party breaches the contract and does not resolve the issue within five business days.
b) The other party becomes insolvent.
12.2. The client may hire a MadRizz employee on a trial basis for a minimum of 1 hour and a maximum of 10 days, with the option to terminate during the trial.
12.3. Termination of full-time employees requires:
a) 30 days' notice for employees hired for less than six months.
b) 60 days' notice for employees hired for more than six months.
12.4. Upon termination, all confidential information must be returned to MadRizz.
The client agrees to the terms of this agreement by:
a) Requesting services from MadRizz.
b) Appointing MadRizz to provide services.
c) Selecting a MadRizz employee.
d) Making any payments as agreed-upon.
e) Indicating acceptance through any other agreed-upon action.
MadRizz and its employees acknowledge that they may have access to confidential client information and agree not to disclose it to any third parties.
